- 400 invalid_input: One field is missing or invalid. The details name each field.
- 413 request_too_large: The body is larger than 8 KB.
- 429 too_many_requests: The address sent more than 5 requests in one minute.

Limits:

- The request body limit is 8 KB.
- The rate limit is 5 requests each minute for one address.
- A prepared draft expires 7 days after MNDAtoday creates it.
- MNDAtoday sends no email for a prepared draft.

- Each agreement uses two parties and United States governing law.

2. The owner opens the link and signs in. A new email address creates the account.
3. MNDAtoday creates the draft under the account of the owner.

Start with the included Common Paper terms. MNDAtoday sends the completed PDF after both parties sign.

1. Set the mutual NDA terms. Enter both parties and choose the included Common Paper cover-page terms. Choose governing law and jurisdiction from United States options.
2. The account owner signs first. Type your legal name and title. Confirm your authority and consent to electronic signing. MNDAtoday locks the document before the first signature.
3. Invite the recipient. The recipient reviews and signs without an account. MNDAtoday sends the invitation to the recipient email address.
4. Receive the completed PDF. MNDAtoday sends the completed PDF to both parties. The PDF contains both signatures and the document version identifier.

## Verify a Completed PDF

- A match proves that the file is byte-for-byte the completed PDF that MNDAtoday produced.
- A change to one byte of the file gives a different hash. A changed file does not match.
- MNDAtoday keeps the hash of each completed PDF. The check works after MNDAtoday deletes the PDF file.

Your browser computes the SHA-256 hash of the file. The file never leaves your device. MNDAtoday receives only the hash.

### 1. Service
MNDAtoday provides software that fills a Common Paper mutual NDA template and records electronic signatures.
MNDAtoday does not provide legal services or legal advice. You remain responsible for each agreement.

### 2. Accounts
Keep each account link and session private. Give accurate account and party information.

### 3. Subscription and payment
The subscription costs $5 USD each month. It includes 20 MNDAs.
Each additional MNDA costs $1 USD.
Recipients sign without an account or payment.
An MNDA counts when its first recipient link becomes active.
A declined MNDA counts as one included MNDA. A voided MNDA also counts as one included MNDA.
If MNDAtoday did not report an additional MNDA charge, the void releases that charge.
MNDAtoday does not refund a used MNDA.
MNDAtoday stops new sending while a payment fails. Sending continues after a successful payment.

### 4. Documents and signatures
Review every document before you sign. Confirm that you have authority to bind the named party.
MNDAtoday locks the document before the first signature.
You can unlock a locked document that MNDAtoday did not send. Unlock the document to edit the terms again.
The recipient must enter a six-digit email code before the agreement opens.
The recipient link expires 30 days after MNDAtoday creates it.
MNDAtoday sends automatic reminders 2 days and 7 days after you send the agreement.
MNDAtoday records electronic consent and signature evidence.
You can download an evidence report for each agreement. The report contains the IP address, the user agent, the consent record, and the hash chain.

### 5. Acceptable use
Do not use MNDAtoday for fraud, abuse, spam, or unlawful agreements.

### 6. Cancellation, retention, and deletion
Cancellation takes effect after the current paid period ends.
Your records stay available read-only for 90 days after paid service ends.
Read-only means that you can open, export, and download your records. You cannot create or send an MNDA.
MNDAtoday deletes PDF files, unfinished agreements, saved templates, saved counterparties, and profile fields after the 90-day period.
MNDAtoday keeps completed agreement terms, names, email addresses, notice addresses, signatures, and audit evidence. A party can still verify a saved completed PDF.

### 7. Termination for cause
MNDAtoday can suspend or end your account for a breach of these terms.
MNDAtoday can act at once for fraud, abuse, unlawful use, or failed payment.
MNDAtoday sends notice to the account email address.
A completed agreement between the parties stays valid after termination.

### 8. Warranty disclaimer
MNDAtoday provides the service "as is" and "as available".
MNDAtoday does not promise continuous operation or operation without error.
MNDAtoday does not promise that an agreement meets your legal requirements.
MNDAtoday excludes all implied warranties to the maximum extent that the law permits.

### 9. Limitation of liability
MNDAtoday is not liable for indirect, incidental, special, or consequential damage.
MNDAtoday is not liable for lost profit, lost data, or a lost business opportunity.
The total liability of MNDAtoday is limited to the fees that you paid in the 12 months before the claim.
These limits apply to the maximum extent that the law permits.

### 10. Indemnity
You indemnify MNDAtoday against each claim that comes from your use of the service.
This duty covers your agreements, the information that you enter, and your breach of these terms.
You pay the reasonable legal costs of a covered claim.
MNDAtoday sends you notice of a covered claim and lets you join the defense.

### 11. Governing law and venue
The law of the State of Delaware governs these terms.
The state and federal courts in Delaware have exclusive jurisdiction over a dispute about these terms.
This section governs these terms only. Each mutual NDA keeps the governing law that its parties select.

### 12. Dispute resolution
Send a dispute notice to sean@devzilla.co first.
Both parties try to resolve the dispute in 30 days after the notice.
After 30 days, either party can start a court action in the agreed venue.
Either party can ask a court for urgent relief that protects confidential information.

### 13. Changes to these terms
MNDAtoday can change these terms.
MNDAtoday updates the effective date at the top of this page.
MNDAtoday sends notice to the account email address at least 14 days before an important change takes effect.
Use of the service after the new effective date accepts the new terms.

### 14. Availability
MNDAtoday can change or stop the service. Export the completed PDF files that you need to keep.

MNDAtoday uses service providers for hosting, storage, email delivery, security, and payment processing.
